Agreement for the use of the website verana-shop.com

1. GENERAL AGREEMENT

SIA “Verana”, registration number 40103580920, address: Ledurgas iela 3/4, Riga, LV-1034, Latvia, hereinafter referred to as VERANA, provides the content available on the website verana-shop.com, hereinafter referred to as VeranaShop, and offers services in accordance with the terms and conditions set out below. By placing an order, you confirm that you have read these Terms, understand them, and agree to comply with them without restrictions or conditions.

If the buyer purchases products offered for sale on VeranaShop, hereinafter referred to as the Goods, online, such mutual agreement is considered a Distance Contract and is governed by the legal norms of the Republic of Latvia regulating Distance Contracts, including but not limited to the Latvian “Consumer Rights Protection Law” and the Latvian Cabinet of Ministers’ Regulations on Distance Contracts.

If a buyer who has ordered and purchased goods on VeranaShop lacks legal capacity, the responsibility for the order and payment lies with that person’s legal representative (e.g., parents, guardians). In this case, the order cannot be cancelled, and the purchase amount is non-refundable. The Distance Sales Contract is considered concluded at the moment the Goods are paid for.

2. PRIVACY

VERANA protects the fundamental rights and freedoms of individuals, in particular the right to privacy, in relation to the processing of personal data in accordance with the Regulation of the European Parliament.

VERANA processes your personal data in various ways for different purposes, depending on whether you are a registered user (see Section 2.2), an unregistered user (see Section 2.3), or a newsletter subscriber (see Section 2.4).

Information about the use of cookies is available in the Privacy Policy. VERANA does not use or transfer the information you provide online without a legal basis. VERANA is obligated to disclose personal data to public and municipal officials in cases provided for by law. We will be required to disclose consumer personal data if required by law.

VERANA may process your personal data in aggregate form for statistical purposes to analyze and improve the services and products offered.

VERANA takes all possible measures to protect your personal information from theft, loss, misuse, as well as from unauthorized access, disclosure, alteration, and destruction.

2.1. GENERAL RIGHTS

Under applicable law, you have the following rights:
- Request access to your personal data;
- Request correction or deletion of your personal data, where possible;
- Request restriction of or object to the processing of your personal data;
- Request portability of your personal data, where possible;
- Withdraw your consent to the processing of personal data at any time;
- Contact VERANA for additional information about how your personal data is processed.

2.2. REGISTERED USER

2.2.1. ACCOUNT CREATION

When you register on VeranaShop and create a client account, hereinafter referred to as the “Account,” your personal data is used to establish an agreement with VERANA for the creation and management of the Account, which serves as a communication channel for concluding a Distance Contract.

By creating an Account, you confirm that you understand the data you provide will be processed for the purpose of creating and managing the Account, including creating and storing your wish list and purchase history, and for sending you information related to the execution of the Distance Contract (e.g., order confirmation, updates, clarifications).

VERANA must receive and process your personal data to conclude a Distance Contract using the Account as a communication channel. If you do not provide this personal data, you will not be able to create an Account or enter into a Distance Contract.

Additionally, the information in your Account and purchase history is used to improve the services and product offers provided by VERANA, based on VERANA’s legitimate interest in collecting information on the quality of its services and products.

Information in the Account related to concluded Distance Contracts (purchased goods), including all correspondence with you, is stored as evidence that a Distance Contract was concluded and executed. VERANA retains this information based on its legitimate interest in protecting its rights and interests in the event of a dispute and due to a legal obligation to retain records of its commercial activities.

Your personal data related to the creation and management of the Account, as well as the conclusion and execution of the Distance Contract, is processed only by VERANA and our cooperation partners who provide order delivery, IT infrastructure, and payment platforms. Only the minimum necessary amount of personal data is shared with partners. Your personal data is processed for this purpose until you delete your Account or until the data retention period set by Latvian law or the statute of limitations for filing a claim in court expires - whichever is later.

2.2.2. RECEIVING COMMERCIAL MESSAGES

By subscribing to receive commercial messages such as promotions and special offers, you agree that VERANA processes your personal data provided in the registration and order forms, including your geographic location and purchase history.

VERANA processes your personal data to send you relevant and up-to-date commercial messages. VERANA conducts various types of profiling by collecting the information you provide in order to analyze which services and products might interest you and to send you appropriately tailored commercial messages.

If you purchase Goods on VeranaShop, VERANA may use your email address to send you commercial messages about similar Goods, even if you have not subscribed to receive such messages.

If you do not wish to receive these notifications, you can opt out of further use of your email address for this purpose via a separate message sent right after placing your order, and also each time you receive a commercial message.

Your personal data related to the sending of commercial messages is processed solely by VERANA and our cooperation partners who provide IT infrastructure and email delivery platforms. Only the minimum necessary amount of personal data is shared with these partners.

Your personal data will be processed for this purpose until you withdraw your consent or unsubscribe from receiving commercial messages. Information about your withdrawal or opt-out will be stored to ensure your request to stop receiving such messages is properly fulfilled. VERANA will stop sending commercial messages as soon as your request is processed. Please note that due to technical constraints, this may take up to five days.

2.3. UNREGISTERED USER

2.3.1. CONCLUSION OF A DISTANCE CONTRACT

In order to conclude a Distance Contract, VERANA must obtain and process the personal data provided in the order form.If you do not provide your personal data, you will not be able to enter into a Distance Contract.

VERANA collects and stores information about your purchase history to improve the services and products provided, based on VERANA’s legitimate interest in collecting information on the quality of the services and products offered.

Information related to the conclusion and execution of the Distance Contract, including all correspondence with you, is stored as evidence that a Distance Contract was concluded and fulfilled. VERANA retains this information based on its legitimate interest in protecting its rights and interests in the event of a dispute, as well as its legal obligation to retain commercial records.

Your personal data related to the conclusion and execution of the Distance Contract is processed solely by VERANA and our cooperation partners who provide order delivery, IT infrastructure, and payment platforms. Only the minimum necessary amount of personal data is shared with these partners.

Your personal data is processed for this purpose until the expiry of the data retention period set by the legislation of the Republic of Latvia or the statute of limitations for bringing a claim to court, whichever is later.

2.3.2. RECEIVING COMMERCIAL MESSAGES

By subscribing to receive commercial messages such as promotions and special offers, you agree that VERANA processes your personal data provided in the order form, as well as your geographic location and purchase history.

VERANA processes your personal data to send you relevant and up-to-date commercial messages. VERANA performs profiling by collecting information about your geographic location and purchase history in order to analyze which services and products might interest you and to send you relevant commercial messages.

Since you purchase products on VeranaShop, VERANA may use your email address to send you commercial messages about similar products, even if you are not subscribed to receive such messages. If you do not wish to receive these notifications, you can opt out of further use of your email address for sending commercial messages via a separate message sent right after placing your order, and also each time you receive a commercial message.

Your personal data related to the sending of commercial messages is processed solely by VERANA and our cooperation partners who provide IT infrastructure and email platforms. Only the minimum necessary amount of personal data is shared with these partners.

Your personal data is processed for this purpose until you withdraw your consent or unsubscribe from receiving commercial messages. Information about the withdrawal or refusal of consent will be retained to ensure your request not to receive commercial messages is properly fulfilled. VERANA will cease sending commercial messages as soon as your request is processed. Please note that processing your request depends on technological capabilities and may take up to five days.

2.4. NEWSLETTER RECIPIENT

By agreeing to receive newsletters via email, you consent to VERANA sending commercial messages such as promotions and special offers to the email address you have provided.

Your personal data related to the sending of commercial messages is processed solely by VERANA and our cooperation partners who provide IT infrastructure and platforms for sending emails. Only the minimum necessary amount of personal data is shared with these partners.

VERANA will stop sending commercial messages as soon as your request is processed. Please note that the processing of your request depends on technical capabilities and may take up to five days.

3. PURPOSE OF THE WEBSITE

This website is designed for the online sale of VERANA brand products.

4. ACCURACY OF INFORMATION

When providing product descriptions on VeranaShop, we strive to be as accurate as possible. In the event of any changes to product information (description, color, etc.), VERANA cannot guarantee that VeranaShop will always be fully updated with the latest information.

5. PRICING POLICY

All prices on VeranaShop are listed in euros (EUR). All prices include VAT or other applicable sales taxes. Depending on the delivery address, your order may be subject to additional shipping charges, which will be clearly indicated before payment confirmation and included in the total order cost. The final price of the product, including taxes and fees as well as delivery or postage charges, will be provided before the conclusion of the Distance Contract. If it is not possible to calculate delivery or postage costs in advance, you will be informed that such charges may apply.

6. DELIVERY

Orders are delivered securely and promptly, as confirmed by our experience. For information on the order processing and delivery procedures, we recommend reviewing our Product Delivery Terms.

7. RETURN POLICY AND RIGHT OF WITHDRAWAL

Each return request related to orders placed and delivered to the Customer is reviewed individually under a simplified procedure. For more information about the return of products purchased on VeranaShop and the termination of the contract, please review our Product Return Policy.

8. CUSTOMER OBLIGATIONS

When using VeranaShop, you must comply with all the Terms and Conditions set forth in this document.

9. LIMITATION OF LIABILITY

You agree that, to the extent permitted by applicable law, neither party shall be liable for any interruptions or errors arising from your use of VeranaShop.

In accordance with applicable law, neither party shall be liable for:
- interruptions in VERANA’s operations;
- delays or interruptions in access to VeranaShop;
- undelivered, misdelivered, distorted, lost, or otherwise altered data;
- any damage or loss of any kind arising from the presence or use of links to other websites on VeranaShop;
- computer viruses, system failures, or malfunctions that may occur in connection with the use of VeranaShop, including through the use of hyperlinks to or from third-party websites;
- any inaccuracies or omissions in the content.

The parties shall not be liable for any indirect, special, incidental, or consequential damages (including loss of profit) arising in connection with the operation of VeranaShop or your use (or inability to use) of VeranaShop.

10. DISPUTE RESOLUTION

The contracting parties will seek to resolve any disputes related to your use of VeranaShop or arising from the performance, interpretation, or termination of this Distance Agreement through mutual negotiations.

VERANA will respond to any request from you within the timeframes and procedures established by applicable legal acts and will inform you of possible ways to satisfy the claim or resolve the dispute, or about alternative ways of resolving the claim.

If the dispute cannot be resolved through negotiations, you as a consumer may file a claim with the court of the Republic of Latvia at the place of VERANA's registration.

11. GENERAL PROVISIONS

You agree that these Terms and Conditions represent the entire current agreement between you and VERANA regarding your use of VeranaShop and its content.

VERANA has the right to make changes and clarifications to these Terms at any time by publishing the relevant changes on VeranaShop and indicating the date of the last update. If VERANA considers the changes to be relevant to you, you will also receive a notification by email. Any changes to these Terms become effective immediately upon publication. By continuing to use VeranaShop after such changes are made, you confirm your agreement to all updates.

Nothing in these Terms shall be interpreted as creating a partnership or any other form of joint venture between you and VERANA.

12. FORCE MAJEURE

SIA “Verana” shall not be held liable for delays in performance, failure to perform, or any other non-performance caused by circumstances and obstacles beyond our reasonable control, including but not limited to strikes, government orders, acts of war or national emergency, terrorist threats or acts, environmental or climatic anomalies, failure by third parties to perform their obligations, internet connection disruptions, or failures in computer hardware or software. In the event of such force majeure circumstances, we will make every effort to resolve the delays as soon as possible.
